1. Parties and Definitions
"EXXY®", "we", "us", or "the Company" means Unime Labs Ltd, the operator of this pre-launch campaign and the developer of the EXXY® Smart Pen (Codename Pointy).
"You" or "Reservist/Interested Backer" means any individual who submits a payment through this campaign page at exxysmartpen.unimelabs.com.
"Campaign" means the EXXY® Smart Pen pre-launch deposit and interest campaign operated through this website prior to the Indiegogo crowdfunding launch.
"Launch" means the date on which the EXXY® Smart Pen Indiegogo campaign is made publicly live and open for pledges.
"Cutoff Date" means 24 hours before the Launch date. Reservists must complete their full pledge by this time to retain their Super Early Bird price and secured spot.
2. Product Description and Pre-Launch Status
The EXXY® Smart Pen is a premium Grade-5 titanium ballpoint pen with embedded AI capabilities including real-time meeting transcription, handwriting digitization, room mapping, and multi-language support. All product images and descriptions on this site are based on current design specifications; final hardware may vary.
Important: This campaign is a pre-launch deposit programme, not the final crowdfunding campaign. You are reserving a right to pledge at a discounted price, not purchasing a product. No guarantee of product delivery exists until the Indiegogo campaign is successfully funded and manufacturing is complete.
3. Super Early Bird Reservation ($25 Deposit)
3.1 What a Reservation Provides
By paying the $25 USD reservation deposit, you secure:
- A guaranteed Super Early Bird pledge price of $219 USD per pen (56% off the retail price of $499 USD) at the time of the Indiegogo Launch.
- Priority placement in the production queue ahead of Early Bird and Standard backers.
- A notification email when the Indiegogo campaign goes live.
3.2 Deposit Amount and Deduction
The reservation deposit is $25.00 USD. If you fulfil your pledge commitment before the Cutoff Date, this $25 is deducted from your final Indiegogo pledge of $219. You will never pay more than $219 in total for one Super Early Bird pen.
3.3 Quantity
You may reserve up to 5 pens per transaction. One $25 deposit covers your entire multi-pen reservation. The Super Early Bird price of $219 per pen applies to all units reserved.
3.4 The Cutoff Date and Pledge Window
Critical: You must complete your full Indiegogo pledge (i.e., pay the remaining balance to make your total $219 per pen) within 24 hours of the Launch date. This window is the Cutoff Date. Failure to pledge by the Cutoff Date results in forfeiture of your deposit and your reserved spot, as described in §3.6.
We will send you a reminder email at least 48 hours before the Cutoff Date. It is your responsibility to monitor your inbox, including spam/junk folders.
3.5 Refund Conditions
Your $25 deposit is fully refundable in the following circumstances:
- EXXY® does not launch its Indiegogo campaign by 31 December 2027 for any reason.
- The Indiegogo campaign launches but is cancelled or does not reach its funding goal.
- EXXY® unilaterally cancels the campaign prior to Launch.
Refunds under these conditions will be issued within 5–10 business days to the original payment method. If the original payment method is no longer available, we will contact you to arrange an alternative.
3.6 Forfeiture
Your reservation deposit is non-refundable and forfeited if:
- You do not complete your full Indiegogo pledge by the Cutoff Date (24 hours before Launch).
- You voluntarily withdraw your reservation prior to Launch by written request.
- We are unable to contact you after two reminder emails and you do not pledge within the window.
Upon forfeiture, your reserved Super Early Bird spot becomes available. Interested backers on the watch list (§4) are notified and may claim the spot on a first-come, first-served basis.
3.7 Non-Transferability
Reservations are personal and non-transferable. You may not sell, assign, or otherwise transfer your reservation to another person.
4. Expression of Interest ($1 Fee)
4.1 What an Expression of Interest Provides
By paying the $1 USD Expression of Interest fee, you secure a place on the EXXY® Smart Pen watch list. This means:
- You will be among the first to receive an email notification if a Super Early Bird reservation spot ($219) becomes available (e.g., due to a Reservist forfeiting their deposit).
- You may claim an available spot by completing a $25 reservation deposit within the time window stated in the notification email — on a first-come, first-served basis.
4.2 Non-Refundable, Non-Deductible, Non-Exchangeable
The $1 Expression of Interest fee is strictly non-refundable under all circumstances. It is not deductible from any future pledge, deposit, or purchase price. It is non-transferable and non-exchangeable for any other product, service, or credit. No exceptions.
4.3 No Guarantee of a Spot
An Expression of Interest does not guarantee that a Super Early Bird spot will become available. EXXY® makes no representation as to how many or whether any spots will open. The watch list is purely advisory.
4.4 Claiming an Available Spot
When a spot becomes available, eligible Interested Backers are notified by email. The notification will include a time-limited link to complete a $25 reservation deposit. Spots are allocated strictly on a first-come, first-served basis. The $1 previously paid is not applied to or deducted from the $25 deposit or any future pledge.
5. Payment Processing
Payments are processed by PayPal and Wise. By making a payment you agree to those providers' terms of service. EXXY® does not store full card numbers or bank account details. Payment references and confirmation IDs are retained for reconciliation purposes.

All amounts are in United States Dollars (USD). Currency conversion costs are borne by you. We are not responsible for exchange rate fluctuations between payment and pledge fulfilment.
6. Intellectual Property
All content on this website — including product designs, copy, images, videos, and the EXXY® trademark — is the exclusive property of Unime Labs Ltd and is protected by applicable intellectual property law. Reproduction, distribution, or commercial use without written permission is strictly prohibited.
7. Product and Campaign Disclaimers
The EXXY® Smart Pen is a pre-production product. Product specifications, pricing, estimated delivery dates, and campaign details are subject to change. EXXY® shall not be liable for delays, specification changes, or cancellations caused by circumstances beyond our reasonable control including but not limited to supply chain disruptions, component shortages, or regulatory requirements.
Product renderings and images on this site represent the current design intent. Final manufactured product may differ in finish, dimensions, or feature set.
8. Limitation of Liability
To the fullest extent permitted by applicable law, EXXY® and Unime Labs Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your participation in this campaign. Our total aggregate liability to you shall not exceed the deposit amount you paid ($25 or $1 as applicable).
Nothing in these terms limits liability for fraud, death, or personal injury caused by our negligence.
9. Governing Law and Disputes
These Terms & Conditions are governed by and construed in accordance with the laws of England and Wales. Any dispute arising from or in connection with these terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

10. Privacy
Your personal data is collected and processed in accordance with our Privacy Policy, which forms part of these terms.
11. Amendments
We reserve the right to update these Terms & Conditions at any time. Material changes will be communicated by email to all Reservists and Interested Backers. Continued participation after notice of changes constitutes acceptance. The version effective at the time of your payment governs the specific transaction.
